This agreement is between Zen Tech Asia Co., Ltd. (MST 0316852554), operating as QuêTôi+ ("Platform"), and the seller named in this application ("Seller").
QuêTôi+ is an intermediary marketplace. The Platform connects Sellers with buyers but is not a party to any transaction between Seller and buyer. The Platform does not purchase, hold, or resell Seller inventory.
Seller confirms that all products and services listed are original, legally compliant, and match the tier criteria for the selected QuêTôi+ tier (Original, Premium, or Home Grown). Seller confirms that no listed goods are counterfeit, resold from Shopee/Lazada, or infringe any third-party intellectual property.
The Platform charges a commission on each completed order. Commission rates are disclosed at the time of onboarding and may be updated with 30 days written notice. Founding Sellers receive a 3-month commission-free period from their first sale date.
Payouts are processed weekly via the method selected during onboarding. The Platform withholds applicable Vietnamese taxes where required by law. Sellers are responsible for their own tax obligations in their jurisdiction of residence.
Seller agrees to maintain consistent product quality, accurate descriptions, and updated listings. Storefronts inactive for 60+ days may be temporarily hidden. Products rated below 4.0 by three or more buyers may be removed pending Seller action.
The QuêTôi+ verified badge is a trust signal granted upon approval. The Platform reserves the right to remove the badge and suspend the storefront if Seller no longer meets the criteria for their tier, without prior notice in cases of fraud or consumer harm.
Seller grants QuêTôi+ a non-exclusive, royalty-free license to use Seller product photos and store name for marketing purposes, including social media, platform advertising, and investor materials. Seller retains full ownership of all content.
Disputes between Seller and buyer are handled first through the Platform's resolution process. If unresolved within 7 days, the Platform may issue a refund to the buyer and recover the amount from the next Seller payout.
Either party may terminate this agreement with 14 days written notice. The Platform may terminate immediately and without notice in cases of fraud, counterfeiting, legal violations, or actions that harm the Platform's reputation or operating license in Vietnam.
This agreement is governed by the laws of the Socialist Republic of Vietnam. Both parties agree to the jurisdiction of the courts of Ho Chi Minh City for any disputes arising from this agreement.
